SUMMARY OF TERMS & CONDITIONS
(Including white label services)
1. General Payment Terms:
Payment terms for the purchase of Intense Nutrients Limited’s products are strictly 30 days from the date of the invoice.
Invoices will be issued upon or shortly after shipment of the products unless otherwise agreed in writing.
2. White Label Services Payment Terms:
New white label customers’ first orders must be paid upfront in full. This is to cover the extensive time and work involved in starting a new white label project.
Subsequent orders for white label services will follow the standard 30-day payment term unless otherwise agreed in writing.
All costs must be agreed upon and signed off prior to placing orders for white label services.
3. Payment Methods:
Payments can be made via BACS/CHAPS, payment via online link provided, credit/debit cards.
All payments must be made in GBP (£) unless otherwise specified.
4. Late Payments:
In the event of late payment, Intense Nutrients Limited reserves the right to charge statutory interest. This interest is calculated at 8% plus the Bank of England base rate for business-to-business transactions, as permitted by UK law.
The application of late payment fees is at the discretion of Intense Nutrients Limited and may be enforced if deemed necessary.
Intense Nutrients Limited reserves the right to withhold any further deliveries or services until all outstanding payments are settled.
In the event of a customer defaulting on their payment terms without prior authorisation from Intense Nutrients Limited, we reserve the right to switch the customer to pro-forma terms, requiring payment in advance for all future orders.
5. Delivery Terms:
The delivery timeframe for white label products is 10 working days from the date of order unless otherwise stated.
Intense Nutrients’ own brand products are usually dispatched the same working day on orders placed before 2pm, unless otherwise stated. Orders over £500.00 qualify for free shipping.
Intense Nutrients Limited will not be liable for any delays caused by circumstances beyond our control; such as product supply chain issues, adverse weather conditions or delivery services failures.
6. Order Cancellation and Modifications:
Orders for bespoke and white label products cannot be canceled or modified once production has commenced.
This includes changes to container type, formulation and any branding/label design which has been already signed off.
Any changes to orders must be agreed upon in writing and may incur additional costs.
Any additional products requested after production has commenced will be subject to the full 10 working day lead time from the date the amendment is received.
7. Dispute Resolution:
In the event of a dispute, both parties agree to negotiate in good faith to resolve the issue.
If a resolution cannot be reached, the dispute will be subject to the employment of debt collecting agencies and /or jurisdiction of the courts of England and Wales. Once this process has been commenced, it cannot be halted.
8. Retention of Title:
Title to the products and any branding/artwork shall remain with Intense Nutrients Limited until full payment has been received.
Intense Nutrients Limited reserves the right to reclaim any products, artwork and branding in the event of non-payment.
9. Confidentiality:
All information related to bespoke formulas and white label services is confidential and must not be disclosed to third parties without prior written consent from Intense Nutrients Limited.
10. Amendments:
Intense Nutrients Limited reserves the right to amend these terms and conditions at any time. Customers will be notified of any changes in writing.

1. DEFINITIONS
1.1 "Buyer" means the person who buys Goods from the Seller. In this instance, the buyer is the authorised Intense Nutrients Stockist who has been pre-approved to buy goods at trade prices.
1.2 "Consumer" shall have the meaning ascribed in section 12 of the Unfair Contract Terms Act 1977.
1.3 "Goods" means the articles that the Buyer agrees to buy from the Seller.
1.4 "List Price" means the list of prices of the Goods maintained by the Seller as amended from time to time.
1.5 "Seller" means Intense Nutrients.
1.6 "Terms and Conditions" means the terms and conditions of sale set out in this document and any special terms and conditions agreed in writing by the Seller.
2. GENERAL
2.1 These Terms and Conditions shall apply to all contracts for the sale of Goods by the Seller to the Buyer and shall prevail over any other documentation or communication from the Buyer. By placing an order to the Seller for Goods, the Buyer agrees to be bound by these Terms and Conditions.
2.2 All orders for Goods shall be deemed to be an offer by the Buyer to purchase Goods pursuant to these Terms and Conditions and are subject to acceptance by the Seller. The Seller may choose not to accept an order for any reason, including but not limited to the following:
Goods ordered by the Buyer being discontinued, out of stock, or otherwise unavailable.
The inability of the Seller to obtain an authorisation for payment or any other payment problem, such as suspected fraud.
A pricing error or a product description error.
In the event that the Seller refuses to supply Goods to the Buyer, the Seller will reimburse any monies paid for those Goods and any delivery charges paid for delivery of those Goods. The Seller will not be liable for any losses, costs, damages, or expenses incurred by the Buyer if the Seller refuses to supply the Goods.
2.3 Acceptance of delivery of the Goods shall be deemed to be conclusive proof of the Buyer's acceptance of these Terms and Conditions.
2.4 Any variation to these Terms and Conditions shall be inapplicable unless agreed in writing by the Seller.
2.5 Nothing in these Terms and Conditions shall affect the Buyer's statutory rights as a Consumer.
2.6 The Buyer must be at least 18 years of age.
2.7 The Buyer must provide the Seller with accurate information regarding the physical address for delivery, a current email address, telephone number for correspondence, and a valid form of payment. The Seller will not be liable for any losses, costs, damages, or expenses arising from incorrect or inaccurate information supplied by the Buyer.
2.8 When making payment, the Buyer must use a payment method that they are entitled to use. Any payment suspected of involving fraud may necessitate further investigation. Goods will not be dispatched unless the Buyer can satisfy the Seller that they have the right to use the payment method used. This may require the Buyer to answer questions satisfactorily and/or provide adequate proof of identification, including photo ID. Dispatch of the Goods will be delayed until the Seller is satisfied.
2.9 If the Buyer uses PayPal Express for payment, Goods can only be shipped to the address sent by PayPal, either the one nominated in the PayPal account or the one entered when filling out credit/debit card details.
2.10 For orders placed for delivery outside of the UK, it is the Buyer's responsibility to ensure that it is legal to ship all Goods to the destination country. The Seller is not responsible for any rejection, return, or destruction of Goods by any Customs authorities.
3. PRICE AND PAYMENT

3.4 The price of the Goods shall be that stipulated in the Seller's current List Price/on the Seller's website/as contained in the Seller's quotation (as applicable) at the date of the order or as agreed between the parties. The price is inclusive of VAT and exclusive of any delivery charges. The Seller reserves the right to amend any prices for any reason prior to dispatch. In the event that the Seller amends the price after an order has been placed, the Seller will contact the Buyer, who will then have the choice of either proceeding with the order or cancelling it. In this event, the Seller will not be liable for any losses, costs, damages, or expenses incurred by the Buyer.
3.5 Payment of the total purchase price (including VAT and any delivery charges) must be made in full, and the funds must be cleared before dispatch of the Goods.
3.6 Special offers and promotions are subject to availability and only apply during the quoted time period.
3.7 For orders outside of the UK, please contact us to place your order. The Buyer is responsible for payment of any and all Customs charges. The Seller will not be liable for any charges made by Customs authorities.
4. DELIVERY
4.1 The delivery timeframe for white label products is 10 working days from the date of order unless otherwise stated. Intense Nutrients’ own brand products are usually dispatched the same working day on orders placed before 2 PM unless otherwise stated. Orders over £500 qualify for free shipping.
4.2 Intense Nutrients Limited will not be liable for any delays caused by circumstances beyond our control, such as product supply chain issues, adverse weather conditions, or delivery service failures.
4.3 Delivery of the Goods shall be made by the Seller notifying the Buyer that the Goods are available for collection at the Seller's premises or for delivery to such place and on such terms as agreed between the Seller and the Buyer at the time the order is placed.
4.4 If any packaging or the Goods themselves are visibly damaged or otherwise compromised, the receiver of the Goods must sign for the delivery with the note: "received damaged." If this note is not included and any Goods are later found to be damaged or missing, the Seller shall not be liable for any losses, costs, damages, or expenses.
4.5 The Seller shall use its reasonable endeavours to meet any date stated for delivery. However, time of delivery shall not be of the essence, and the Seller shall not be liable for any losses, costs, damages, or expenses incurred by the Buyer or any third party arising directly or indirectly out of any failure to meet any estimated delivery date.
4.6 Some Goods may not be in stock at the time the order is placed. If the Seller cannot deliver the Goods within the specified time, the Seller will contact the Buyer to advise of the situation, and the Buyer shall be entitled to cancel the order and receive a full refund or agree to a later delivery date.
4.7 The Buyer should make arrangements for their order to be received when it is to be delivered. If the Buyer or a nominated party is not available to receive the delivery, the courier may attempt one or two further deliveries. After this, the order will be returned to the Seller. In this instance, a further delivery charge will be required before the Goods can be re-delivered. The Buyer may also cancel the order and receive a refund of any monies paid less the cost of any failed deliveries.
4.8 Title and risk in the Goods shall pass to the Buyer upon delivery of the Goods.
5 CANCELLATION AND MODIFICATIONS

6 LATE PAYMENTS
